1. Description of the Service

TrueQoE is an AI-assisted financial decision-support platform designed to help users analyze financial information related to small and middle-market businesses.

The Service may organize financial information, identify potential adjustments, reconcile financial records, highlight potential inconsistencies, generate reports, produce supporting documentation, and assist users in preparing for due diligence, financing, acquisitions, dispositions, or other business transactions.

The Service is intended solely as a decision-support tool.

2. Decision Support Philosophy

TrueQoE is designed to assist users in organizing financial evidence, identifying potential issues, performing deterministic financial calculations, and presenting the reasoning and supporting evidence behind its analyses in a transparent and traceable manner.

The Service is intended to support—not replace—professional judgment.

TrueQoE does not determine whether a transaction should proceed, whether a business should be acquired or sold, whether financing should be extended, whether an adjustment is appropriate, or whether any accounting, tax, legal, valuation, or other professional conclusion is correct.

Any findings, classifications, proposed adjustments, confidence assessments, claims, evidence classifications, or other outputs generated by the Service are decision-support information only and should be evaluated in light of the underlying evidence and, where appropriate, reviewed with qualified professional advisors.

TrueQoE is designed to increase transparency into financial information and reasoning, not to automate professional judgment or replace qualified human decision-makers.

All decisions regarding acquisitions, dispositions, financing, lending, accounting treatment, tax matters, legal matters, valuations, negotiations, or other business decisions remain solely the responsibility of the user and the user's advisors.

3. No Professional Advice

The Service is not:

• a certified Quality of Earnings report;
• an audit;
• a review or compilation engagement under professional accounting standards;
• an appraisal or business valuation;
• investment advice;
• legal advice;
• tax advice;
• lending advice; or
• any other professional opinion.

Nothing produced by the Service should be interpreted as a substitute for advice from qualified accountants, attorneys, valuation professionals, lenders, or other advisors.

4. User Responsibilities

You are responsible for:

• providing accurate and complete information;
• reviewing all reports before relying upon them;
• obtaining appropriate professional advice when necessary;
• complying with all applicable laws; and
• ensuring that you have the legal right to upload any documents submitted to the Service.

You remain solely responsible for all business decisions made using the Service.

5. User Content

You retain ownership of all documents, financial information, and other content you upload.

You grant Strategic Lever a limited license to process, analyze, store, and transmit your content solely for the purpose of providing the Service.

You represent that you have all necessary rights and permissions to upload such information.

6. Acceptable Use

You agree not to:

• upload malicious software, executable code, ransomware, scripts, corrupted files, or other content intended to interfere with the operation, security, or availability of the Service or any third-party systems;
• upload content you do not have permission to use;
• attempt to gain unauthorized access to the Service;
• interfere with the security or operation of the Service;
• reverse engineer or attempt to extract proprietary source code;
• use the Service for unlawful purposes; or
• use automated systems to overload or disrupt the Service.

7. AI-Generated Content

Certain portions of the Service use artificial intelligence to assist in extracting, organizing, classifying, summarizing, and explaining information.

AI-generated outputs may contain inaccuracies, omissions, or incorrect interpretations.

Users are responsible for reviewing all outputs before relying upon them.

No AI-generated output constitutes professional advice or a statement of fact unless independently supported by the underlying evidence.

8. Reports and Findings

Reports generated by the Service are based upon the information supplied by users and any assumptions disclosed within the report.

Unless expressly stated otherwise, Strategic Lever does not independently verify uploaded documents.

Findings, adjustments, classifications, and conclusions are limited by the completeness and quality of the information provided.

Missing or incomplete information may materially affect the results.

9. Intellectual Property

The Service, including its software, algorithms, interfaces, graphics, trademarks, documentation, methodologies, and content, is owned by Strategic Lever LLC and protected by applicable intellectual property laws.

These Terms do not transfer ownership of any intellectual property.

10. Confidentiality

We will use commercially reasonable measures to protect uploaded information consistent with our Privacy Policy.

However, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.

11. Availability

We may modify, suspend, discontinue, or update any portion of the Service at any time without liability.

We do not guarantee uninterrupted availability.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGIC LEVER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF DEFECTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGIC LEVER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY.

OUR TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO STRATEGIC LEVER FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Strategic Lever LLC, its officers, employees, contractors, affiliates, and agents from claims arising out of:

• your use of the Service;
• your uploaded content;
• your violation of these Terms; or
• your violation of applicable law or the rights of another party.

15. Termination

We may suspend or terminate access to the Service at any time for violations of these Terms or to protect the security or integrity of the Service.

You may discontinue use of the Service at any time.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the jurisdiction of those courts.

17. Changes to These Terms

We may update these Terms from time to time.

Material changes will become effective upon posting the updated Terms on the Service.

Continued use of the Service constitutes acceptance of the revised Terms.
